8. CDN Services and Bandwidth Usage

Where View TV provides CDN or content delivery services, the Customer acknowledges that service costs may vary according to bandwidth consumption, traffic volumes, geographic distribution, concurrent connections and other infrastructure requirements.

The Customer agrees:

  • To use the CDN services in accordance with the agreed technical specifications.

  • To provide valid and authorised content feeds.
  • To ensure that content delivered through the CDN does not violate applicable laws or third-party rights.
  • To notify View TV of unusual traffic patterns or suspected misuse.

View TV shall not be responsible for interruptions caused by third-party networks, upstream providers, internet service providers or infrastructure outside its reasonable control.

Additional bandwidth, storage, processing or delivery requirements may be charged separately in accordance with the agreed pricing schedule.

Nothing in these Terms transfers ownership of View TV intellectual property to the Customer.

All Customer-supplied content, trademarks, programming, media libraries and associated intellectual property shall remain the property of the Customer or its respective rights holders.

The Customer grants View TV a limited licence to host, process, encode, transmit, distribute and otherwise use such materials solely as necessary to provide the contracted services.

13. Customer Content and Distribution Rights

The Customer warrants that it owns, controls or has obtained all necessary rights, permissions, licences and consents required for View TV to process, store, encode, transmit, distribute and monetise any content supplied by the Customer.

The Customer shall be solely responsible for any copyright, music licensing, performance rights, broadcast rights, talent releases, advertising clearances and other permissions relating to its content.

View TV does not acquire ownership of Customer content by providing hosting, distribution, playout, advertising insertion or other technology services.

View TV reserves the right to remove or restrict content where it reasonably believes that the content infringes third-party rights, violates applicable law or creates a material legal or operational risk.

14. Data Protection and Security

Both parties shall comply with applicable data protection and privacy legislation relevant to their respective obligations.

Where View TV processes personal data on behalf of the Customer, the parties shall enter into an appropriate Data Processing Agreement (DPA) where required by applicable law.

The Customer is responsible for ensuring that it has the necessary legal basis, notices, consents and permissions to collect and provide personal data for processing through View TV services.

View TV shall implement reasonable technical and organisational measures designed to protect Customer data against unauthorised access, loss, misuse or disclosure.

View TV may use third-party hosting, cloud infrastructure, CDN providers and other technology partners to deliver its services, subject to applicable contractual and legal requirements.

15. Confidentiality

Each party agrees to maintain the confidentiality of commercially sensitive, proprietary or confidential information received from the other party.

Confidential information may include:

  • Commercial proposals and pricing.
  • Customer lists and business relationships.
  • Technical documentation and infrastructure details.
  • Software, source code and platform architecture.
  • Financial and operational information.
  • Business strategies and development plans.

Neither party shall disclose confidential information to third parties without prior written consent, except where disclosure is required by law or to professional advisers and service providers who are subject to appropriate confidentiality obligations.

These obligations shall continue for three (3) years following termination of the relevant agreement, except for trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

16. Third-Party Services and Infrastructure

View TV may use third-party technology providers, cloud hosting services, CDN providers, software platforms, telecommunications networks and other external suppliers to deliver its services.

The Customer acknowledges that certain aspects of the services may depend on the availability and performance of these third parties.

View TV shall not be responsible for failures caused by third-party services outside its reasonable control, except to the extent that such responsibility cannot be excluded under applicable law or arises from View TV’s own breach of an express contractual obligation.

Where third-party licences, services or infrastructure are required, associated costs may be passed on to the Customer as specified in the applicable quotation or Service Order.

17. Warranties and Disclaimer

View TV warrants that it shall provide its services using reasonable care and skill and in accordance with any expressly agreed contractual specifications.

Except as expressly stated in these Terms or a separate written agreement, all services, platforms and technology are provided without additional warranties, whether express, implied or statutory, to the maximum extent permitted by applicable law.

View TV does not warrant that:

  • Services will be completely uninterrupted or error-free.
  • All software or infrastructure will be compatible with every third-party system.
  • Services will meet every Customer-specific operational requirement unless expressly agreed.
  • Advertising, viewing or monetisation targets will be achieved.
  • Any particular commercial outcome will result from the use of the services.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

Where the relevant service has been provided for less than twelve months, the cap shall be based on the fees paid or payable for the period of service.

Nothing in these Terms shall limit or exclude liability for:

  • Death or personal injury caused by negligence where such liability cannot legally be excluded.
  • Fraud or fraudulent misrepresentation.
  • Wilful misconduct where liability cannot legally be limited.
  • Any other liability that cannot legally be excluded or limited.

The limitations in this section apply regardless of the legal basis of the claim, including contract, negligence, tort or otherwise.

View TV shall not settle a claim in a manner that imposes liability or obligations on the Customer without the Customer’s prior written consent, not to be unreasonably withheld.

20. Term and Termination

These Terms shall apply from the date the Customer first purchases, subscribes to or uses the relevant View TV services.

The duration of individual subscriptions and projects shall be determined by the applicable Service Order or agreement.

Unless otherwise agreed, recurring subscriptions shall continue on a rolling monthly basis following any initial agreed subscription period.

Either party may terminate a service agreement by providing thirty (30) days’ written notice, subject to any minimum subscription period or contractual commitment.

  • Commits a material breach and fails to remedy it within thirty (30) days of written notice.
  • Becomes insolvent or enters liquidation, administration or a similar insolvency process, subject to applicable law.
  • Ceases to carry on business.

View TV may terminate or suspend services immediately where the Customer engages in unlawful activity, creates a material security threat or repeatedly fails to meet payment obligations.

Upon termination:

  • The Customer shall pay all outstanding invoices and accrued charges.
  • Any applicable contractual minimum commitments shall remain payable.
  • Access to the relevant services may be discontinued.
  • The Customer shall cease using View TV proprietary software and systems.

View TV shall not be responsible for maintaining Customer content indefinitely following termination.

Sections relating to payment, intellectual property, confidentiality, indemnification, limitation of liability and any other provisions intended to survive termination shall remain in force.

Neither party shall be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control.

Such events may include:

  • Government restrictions or regulatory action.
  • Pandemics and public health emergencies.

The affected party shall use reasonable efforts to mitigate the impact of the event and resume performance as soon as reasonably practicable.

If a force majeure event continues for more than sixty (60) consecutive days and materially prevents the provision of the relevant services, either party may terminate the affected Service Order by written notice.

23. Changes to Services and Terms

View TV may update these Terms from time to time to reflect changes in its services, technology, business operations or legal requirements.

The latest version shall be published on the View TV website.

Where changes materially affect an existing Customer’s contractual rights or obligations, View TV shall provide reasonable notice.

Changes shall not retrospectively alter fees or obligations already accrued under an existing agreement.

Where a separately signed agreement contains different provisions, that agreement shall prevail to the extent of any inconsistency.

24. Publicity and Marketing

Neither party shall use the other party’s name, trademarks, logos or branding in public announcements, marketing materials or press releases without prior written consent.

View TV may identify a Customer as a client or technology partner in its portfolio or marketing materials only where the Customer has provided permission or where such use has otherwise been expressly agreed.

25. Assignment and Subcontracting

The Customer may not assign, transfer or sublicense its rights or obligations under these Terms without the prior written consent of View TV.

View TV may subcontract elements of its services to qualified third-party suppliers and technology providers where necessary to deliver its services.

Notices to View TV should be sent using the official contact details published at:

A notice shall be deemed received when delivery is confirmed or acknowledged, provided that no automated delivery failure notification has been received.

27. Governing Law and Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of [INSERT GOVERNING STATE OR COUNTRY], without regard to its conflict of law principles.

The parties agree that the courts located in [INSERT AGREED JURISDICTION] shall have exclusive jurisdiction over disputes arising under these Terms, subject to any mandatory legal rights that cannot be excluded.

The parties shall endeavour to resolve commercial disputes through good-faith discussions before commencing formal legal proceedings.

28. General Provisions

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

Failure by View TV to enforce any provision shall not constitute a waiver of its rights.

These Terms, together with any applicable Service Orders, proposals, subscription agreements, SLAs and DPAs, constitute the contractual understanding between the parties in relation to the relevant services.

No amendment to a specific commercial agreement shall be effective unless agreed in writing by authorised representatives of both parties.
